Terms of Service
Effective Date: 05 June 2025
1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of SOA Assist Pro (the "Service"), provided by Versytech, LLC ("Versytech," "we," "our," or "us"). By creating an account, accessing, or using the Service (including our website, mobile applications, APIs, and any related services), you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Service.
2. Eligibility & Account Registration
You must be at least 18 years old and legally authorized to sell Medicare insurance products to use the Service. You agree to provide accurate, complete, and current information during registration and to keep your account credentials secure. You are responsible for all activities that occur under your account.
3. Subscription, Fees & Payment
Access to certain features of the Service may require payment of subscription fees. Prices, billing cycles, and payment terms will be disclosed at the point of purchase and may change upon thirty (30) days' notice. All fees are non‑refundable unless required by law.
4. License & Acceptable Use
Versytech grants you a limited, non‑exclusive, non‑transferable, revocable license to access and use the Service for your internal business purposes. You agree not to:
- Violate any applicable laws or regulations, including CMS rules.
- Upload, transmit, or store any content that is unlawful, harmful, or infringes intellectual property rights.
- Create derivative works, reverse engineer, or attempt to gain unauthorized access to the Service or its related systems.
- Interfere with or disrupt the integrity or performance of the Service.
- Misuse PHI or store it outside designated secure areas within the Service.
5. Protected Health Information & HIPAA
Versytech is a Business Associate under HIPAA when handling Protected Health Information ("PHI"). A separate Business Associate Agreement ("BAA") forms part of these Terms. You, the covered entity, warrant that you will comply with HIPAA and only upload PHI necessary for the Service. You remain solely responsible for obtaining any required authorizations from beneficiaries.
6. Third‑Party Services
The Service integrates with third‑party providers (e.g., AWS, Microsoft Outlook & Entra ID, DocuSeal). Your use of those services is governed by their respective terms. Versytech is not responsible for third‑party services but will ensure any subcontractors that handle PHI sign a BAA where required.
7. Intellectual Property
All rights, title, and interest in and to the Service (including software, content, logos, and trademarks) are and will remain the exclusive property of Versytech and its licensors. Nothing in these Terms grants you any rights except the limited license stated above.
8. Confidentiality
Both parties agree to keep confidential all non‑public information disclosed by the other party that is marked or reasonably understood to be confidential, including PHI, pricing, and business information, except as permitted by these Terms or required by law.
9. Disclaimers
The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non‑infringement. Versytech does not guarantee that the Service will be uninterrupted, error‑free, or secure.
10. Limitation of Liability
To the fullest extent permitted by law, Versytech will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising from or related to your use of the Service, even if advised of the possibility of such damages. Our total liability for all claims in any calendar year will not exceed the amounts you paid to Versytech in that year.
11. Indemnification
You agree to defend, indemnify, and hold harmless Versytech, its officers, directors, employees, and agents from and against any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your misuse of the Service, violation of these Terms, or infringement of any intellectual property or privacy rights.
12. Suspension & Termination
We may suspend or terminate your access to the Service immediately if you breach these Terms or if necessary to protect the security or integrity of the Service. Upon termination, your license to use the Service ceases, but the following sections survive: 7, 8, 9, 10, 11, and 14.
13. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Oregon, USA, without regard to conflict‑of‑law principles. Any dispute arising out of or relating to these Terms or the Service will be resolved through binding arbitration in Portland, Oregon, under the rules of the American Arbitration Association. Each party waives its right to a jury trial.
14. Changes to Terms
We may modify these Terms at any time. We will post the revised Terms on this page and indicate the "Effective Date" above. Material changes will be communicated via email or in‑app notice. Your continued use of the Service constitutes acceptance of the revised Terms.
